How a separation runs

A carve-out is a schedule problem as much as a design problem, and the schedule belongs to the deal.

  1. Assess

    What the function does today, what it inherits from the parent, and what it will lose on completion.

  2. Design day one

    The minimum working back office for the first day of separate ownership, and the transitional services that cover the rest.

  3. Execute

    Stand up what is new, retire what is duplicated, and exit the transitional services on the dates agreed.

  4. Reach steady state

    The standalone or combined function running to its own service levels, with the interim support wound down.

When should we start?
Before signing wherever possible. Day-one readiness is driven by the deal timetable, and the work that has to happen before completion is the work most often left too late.
Can you run the function during the transition?
Yes, through manpower augmentation or full BPO. It is often the fastest route to a working day one, and it buys time to hire the permanent team properly.
Do you work for the seller or the buyer?
Either. A carve-out and a post-acquisition integration are largely the same work seen from two sides of the same transaction.
What if the transitional service agreement is already running?
Then the engagement starts with the exit rather than with day one. A TSA that has no dated exit plan tends to become permanent and expensive.
